BY-LAWS MOPAR MAGIC UNLIMITED AUTO CLUB, INC.
As Amended March 1, 2009
ARTICLE I
Section 1 - Name: The name of the Club shall be “MOPAR MAGIC UNLIMITED AUTO CLUB, INC.” The Club is incorporated under
the laws of the State of Louisiana as a 501 (3) (c) non-profit corporation.
Section 2 - Purpose: The general purpose of the Club shall be to encourage the use, service preservation, and location of parts
for all Chrysler Corporation and predecessor company vehicles, regardless of year of manufacture.
Section 3 - Seal: The logo of the Club shall be the state of Louisiana, with the words ‘Mopar Or No Car” crossing it, with a
Chrysler Pentastar shooting out of the Shreveport Bossier metroplex area, imbedded with “Mopar Magic Unlimited Auto Club,
Inc.” across the facing.
Section 4 – Address: The mailing address for the Club is PO Box 52081, Shreveport, LA 71135.
Section 5 – Fiscal Year: The fiscal year for the Club shall be January 1st through December 31st.
ARTICLE II
Section 1 - Members: Membership in the Club shall be open to owners and or enthusiasts of Chrysler Corporation and
predecessor company vehicles. He/She will be subject to Club approval. Club membership classes are as follows:
a) Individual Membership for one person.
b) Family Membership which includes one person and their spouse.
c) Founding Member Lifetime Membership.
Section 2 - Dues: Annual dues for the Individual Membership are $30.00. The Family Membership dues are $45.00.
a) New members joining between January 1st and June 30th will pay the full normal dues amount for their class of
membership at the time of joining and will renew at the full rate at the next January renewal period. New members joining on
or after July 1st will pay one-half the normal dues amount for their class of membership and will renew at the full rate at the
next January renewal period.
b) All dues renew annually and must be paid in January of each year with a one month grace period. Members who have
not paid their dues by March 1st are subject to having their memberships terminated unless hardship arrangements are made
with the club.
c) Upon joining the club, members receive a Mopar Magic Club T-shirt, a membership card, a Mopar Magic Club window
sticker for their car, and a subscription to InDirect Connection, the club’s monthly newsletter.
d) Each member is authorized to vote on club matters, to attend our functions and activities, and to compete for club
awards.
Section 3 - Expulsion: Any member may be suspended / expelled from the Club by a majority vote of the Club after a majority of
the Club’s Board of Directors determines the action necessary. At that time, all Club issued items will be surrendered.
Section 4 - Resignation: Any member may resign by directing a letter of resignation to any Board member, or by verbally stating
so.
Section 5 - Logos: Official Club logo items are to be attached only to Club registered member’s vehicles. If more are required,
they may be purchased from the Club at the regular sales price.
Section 6 - Club Funds and Assets: No member shall have or acquire any right, title, or interest in the funds or assets of the
Club, nor any vested right in the continuation of any Club service. All funds and assets of the Club shall be used by the Board of
Directors to provide services to members of the Club consistent with the objectives of the Club as stated herein. No part of the
funds or assets of the Club shall be distributed to any member without express consent from the Board of Directors. Upon the
event of dissolution, any funds remaining after meeting all prior financial obligations shall be distributed to one or more
regularly organized non-profit organizations devoted to one or more of the objectives of the Club, or to one or more educational
or charitable organizations selected by the Board Of Directors.
Section 7- Grievance Procedure: Any complaint concerning the Club or any member of the club must be brought in writing and
signed by the complainant, to any board member at least one week prior to the next regularly scheduled board meeting. It will
be discussed at that board meeting, with all concerned parties present. If the matter cannot be resolved, it will be brought up
at the next regularly scheduled club meeting for discussion and voting on using the written ballot system.
ARTICLE III
Section 1 – Regular Board Meetings: The Board of Directors shall meet each month prior to the upcoming meeting, or as many
times as deemed appropriate. Six of the nine positions will constitute a quorum at any meeting. Each Board meeting will
discuss the following:
a) Prior meeting discussions / follow up.
b) Reports of officers / updates of pertinent information.
c) Reports of select committees / updates as applies.
d) Upcoming business / commitments / functions.
e) Proposed new business.
Section 2 - Membership Meetings: Regular Club member meetings will be conducted the first Sunday of each month, unless
otherwise directed by the Board of Directors (i.e. emergency meetings, special meetings, etc.). Each regular meeting will
discuss the following:
a) Prior meeting discussions / follow up.
b) Reports of officers / updates of pertinent information.
c) Reports of select committees / updates as applies.
d) Upcoming business / commitments / functions.
e) Proposed new business.
ARTICLE IV
Section 1 – Board of Directors and the Duties of Officers: The Board of Directors will be composed of the members of the club
who have been elected to the following club officer positions with duties as listed:
a) President: The President will conduct and preside over all meetings. He or She is responsible to see that all officers
perform their duties. He or She is responsible for Club representation within the community. In the event any Board member
cannot fulfill their obligations to the Club, the President is responsible for performing that officer’s duties until the vacancy is
filled and, in addition, he or she has the right to appoint another Club member to fill the vacated position. He or She shall also
swear in the new officers at the beginning of their new terms of office.
b) Vice President: The Vice President will work with the President on all Club activities / events, as well as coordinate the
efforts of all Board members. In the event the President resigns for any reason, the Vice President shall fulfill the obligations of
the presidency for the duration of the remaining fiscal year and shall appoint his/her replacement for Vice President as
deemed appropriate. The Vice President shall also maintain the official Club rosters of members and the Ron Delaney High
Points Award contest point status thereof, to be public knowledge to all Club members at each membership meeting.
c) Secretary-Treasurer: The Secretary-Treasurer shall keep records of all meetings. He or She will be required to monitor
and control all Club funds and account for all income and expenses incurred each fiscal month, with written documentation to
be periodically reviewed by the Board of Directors. He or She will require the signature of the President, Vice President, or
Secretary-Treasurer, with any combination of two thereof, to be required for all Club checks written.
d) Activity / Cruise Director: The Activity / Cruise Director is in charge of coordinating all Club activities and cruises which
are not show related. It is required that each fiscal month, the Activity / Cruise Director designates an event for the benefit of
the members.
e) Show Director: The Show Director is in charge of correspondence to all shows related to the Club. He or She is to be
knowledgeable of any show in the surrounding area, as well as provide information and entry forms to all shows. He or She is
also in charge of developing formats for shows, as well as delegating tasks to be fulfilled as needed. The Show Director
maintains final say on approval or disapproval to all Club shows and displays.
f) Newsletter Director: The Newsletter Director will produce and distribute a monthly newsletter called InDirect Connection
to Club members and other members of the Mopar community. He or She is responsible for the content of the newsletter.
More information about the newsletter can be found in Article XV.
g) Race Director: The Race Director is in charge of coordinating all Club racing events. All Club racing events will be held at
bona fide racing facilities under the supervision of qualified personnel to insure safety and compliance with applicable laws.
He or She will maintain a record of points accrued toward the Clint Strobeck Top Racer Award which is an award for the top
racer in the Club. The Race Director will determine the criteria for the contest, including rules, activities and will be
responsible for selecting the winner.
h) Board Members At Large: There will be a total of two (2) Board Members at Large. They shall provide input at Board
meetings, perform assigned and delegated tasks, and assist the Board of Directors in any capacity needed. None shall be
assigned a specific task for the fiscal year, but will perform any and all duties as deemed appropriate by the Board of Directors.
Section 2 – Election of Officers
a) Qualifications: All candidates for officer positions must be members in good standing and be current on the payment of
Club dues.
b) Term of Office: The term of office for elected officers shall be 12 months which shall run from April through March of the
following year. Nominations for officers shall be taken at the January, February and March meetings. Elections will be held at
the March meeting, with the new Board of Directors to be sworn in at the April meeting by the outgoing President. April will be
a transition period in that each outgoing Board Member will be responsible for guiding and helping his / her elected
replacement to perform his / her Board duties for this entire first month.
c) Term Limitations: No Club member shall hold the same position on the Board of Directors for more than two (2)
consecutive terms. If there are no nominations for a position or if a nomination is not accepted by an individual, the Board may
appoint a person to fill that position. They will serve in that position if approved by a majority of members attending the next
regularly scheduled Club meeting.
ARTICLE V
Section 1 - The Ron Delaney High Points Award Contest: Ron Delaney was one of the founding members and early leaders and
promoters of the Mopar Magic Club. When he was terminally ill in 2007, the Club chose to name this award for him to honor his
many years of exceptional service to the Club. This contest among Club members is designed to encourage member
participation in events and activities to promote the Club in our communities and to promote fellowship among members.
a) The contest is open to all members of the club except for those serving on the Board of Directors. Members are not
eligible to win consecutive awards.
b) Points are earned by doing things listed below and reporting your participation to the Vice President. The point standing
contest year shall be from December 1 through November 30 of the next year. The point system will be controlled and
monitored by the Vice President, who has the final say on determination and any allowances thereof.
c) Points are awarded as follows:
1) Attending a club meeting…………………………………….…….1 point
2) Driving a Mopar to a club meeting / club event…..…...1 point
3) Attending a club designated Activity………………….….....1 point
4) Attending a Cruise Night……………………………………….…..1 point each; (2 points per month maximum)
One point for each designated cruise in Shreveport, Longview and/or Marshall or other cruises as approved.
5) Attending a club Work Activity…..................................2 points
6) Attending a club designated Special Activity................5 points
7) Wearing a purple Club shirt to a meeting / event…......1 point
8) Recruit a new Club member..........................................2 points
9) Newsletter article or picture published........................1 point each
d) Official Club events, wearing apparel, and designated special events shall be determined by the current Board of
Directors, and discussed at the beginning of the new fiscal year.
e) The winner of the most accrued points at the end of the contest year will receive a personalized purple satin Club jacket
with “Ron Delaney High Point Awards” and the year of the award embroidered over the wearer’s heart, the winner’s name on
the right breast, and “Mopar Magic Unlimited Auto Club, Inc.” embroidered on the back with all lettering to be done in gold. The
jacket is provided by the Club.
f) The winner has their “Mopar of Choice” put on the next Louisiana Mopar Nationals Club Show T-shirt.
Section 2 - The Clint Strobeck Top Racer Award Contest. Clint Strobeck was one of the founding members and early leaders
and promoters of the Mopar Magic Club. He was a Chrysler 5 Star Master Technician who freely gave of his time and himself
to help others with their Mopars, accepting nothing in return. When he passed away suddenly in 2008, the club wanted to
honor his years of generous service to the club and the members. The Clint Strobeck Top Racer Award has been created as
an enduring tribute to Clint. It will be a trophy engraved as the “Clint Strobeck Top Racer Award”. It will be presented annually
to the person who has accumulated the most points for racing participation and points for the fastest race time as determined
by the Racing Director. In addition, a permanent plaque, retained by the Mopar Magic Club, will list the name and other
pertinent information of each winner.
ARTICLE VI
Section 1 - Amendment to the By-laws: A member may propose an amendment to the By-laws by submitting a signed, written
proposal to the Board of Directors. It will then be reviewed by the Board and will be presented to the general membership at
the next regularly scheduled Club meeting. A two-thirds majority of votes cast by current members shall approve or deny the
proposal. If approved, it will be added to the By-laws immediately. If denied, the proposal cannot be resubmitted until the next
Board officially takes office, (currently in April).
ARTICLE VII
Section 1 - Personal Liability: All persons or corporations extending credit to, contracting with, or having any claim against the
Club or the Board Of Directors shall look only to the funds and property of the Club for payment of any such contract or claim or
for the payment of any debt, damage, judgment, or decree or any other monies that otherwise become due or payable to them
from the Club or the Board, so that neither the members of the Club or the Board Of Directors present, past, or future, shall be
liable personally thereof.
ARTICLE VIII
Section 1 - Club Liability: Neither the Club, nor its Board of Directors, nor its members shall be held liable for any loss or
damage due to fire, theft, or accidents at any and all Club meetings, functions, and events that the Club directs or participates
in directly or indirectly.
Section 2 - Chrysler Corporation Compliances: It will be the responsibility of the Board Of Directors to insure full compliance
with the use and association of all Chrysler Corporation logos and descriptors, as well as maintain necessary correspondence
with such, so as to insure no infractions occur, to which may effectively disable the Club. It is further stated that “Mopar Magic
Unlimited Auto Club, Inc.” is currently within the prescribed confines associated with the Chrysler Corporation, with full
intention to continue in said fashion.
ARTICLE IX
Section 1 - By-Laws Review: At the beginning of each new term of office, the new Board of Directors will be required to review
the by-laws so as to insure the Club is within full compliance, as well as recommend revisions or additions as appropriate. A
copy of the by-laws should be provided to all members when they join the club and after each revision. A current copy should
be maintained at each meeting so as to insure that any disputes may be resolved promptly.
ARTICLE X
Section 1 - Club History: It will be the responsibility of the outgoing President to pass on the written history of the Club, its prior
Board of Directors, and prior by-laws to the incoming President -primarily to continue the uniform building of the Club,
maintaining pertinent history, as well as identifying changes that have affected the Club. The information shall be general
knowledge for all members which will effectively document the history of “Mopar Magic Unlimited Auto Club, Inc.”
ARTICLE XI
Section 1 - E.T. Club: To qualify for the official drag racing club 13.99 second and faster t-shirts, a Club member must be driving
a Mopar with street tires, no open headers or nitrous. To qualify for a 12.99 second or lower t-shirt, a Club member must be
driving a Mopar. There are no limits to modifications for the 12.99 or faster t-shirts. The Club will award a Club member their
first t-shirt and all subsequent t-shirts must be purchased by the Club member. All qualifying must be performed at a Club
sanctioned event at a bona fide facility under the supervision of qualified personnel to ensure the safety of participants and
spectators.
ARTICLE XII
Section 1 – Founding Member Lifetime Membership: A member must meet all of the following requirements to be eligible for
Founding Member Lifetime Membership in the club:
a) Be an original founding member of the Club
b) Be a Club member for ten (10) consecutive years.
c) Be approved by a majority of the Board Members.
d) Be approved by a majority of the Club’s general membership.
Section 2 – Founding Member Lifetime Memberships: The following Founding Member Lifetime Memberships were approved in
May of 2001. This entitles the following members to Free Lifetime Membership, beginning January 2002. Due to the unique
nature of this honor, this category of membership is closed.

ARTICLE XIII
Section 1 - The Walter Hamelback Achievement Award: Walter Hamelback was an early member of the club who gave
generously of himself to further its growth and development. To honor his memory, the club named this achievement award
after him. It is given to the member who has contributed the most to the club or its members. Nominations from the
membership are reviewed by and a winner is selected by the President, Vice-President and at least two Founding Lifetime
Members.
a) Any Club member can submit a written nomination to the President, Vice-President or Founding Lifetime Members.
b) Nominations will be accepted in November and no later than the December meeting.
c) A member is not eligible to receive this honor in two consecutive years.
d) The winner will be announced at the Club Christmas Party.
e) There may be only one winner per year.
f) The winner receives a personalized black satin jacket with “Walter Hamelback Achievement Award” and the year of the
award embroidered over the wearer’s heart, the winner’s name embroidered over the right breast, and “Mopar Magic
Unlimited Auto Club Inc.” embroidered on the back with all lettering to be in gold.
g) Winner has their “Mopar of Choice” put on the Louisiana Mopar Nationals T-shirt.
ARTICLE XIV
Section 1 – Mopar Magic Newsletter: Each month the Club will publish InDirect Connection, a newsletter for the benefit of its
members and interested parties in the Mopar community.
a) Overall responsibility for the preparation and production will be the responsibility of the Newsletter Editor but the input of
all members is needed to make it a worthwhile publication.
b) Each Club officer will be provided space for a monthly column for their comments, announcements or other
communications to the membership.
c) All members are encouraged to submit photos, ads for items wanted or for sale, articles or ideas for stories in the
newsletter that are consistent with the Club’s focus on all things Mopar.
d) The newsletter is a family publication and represents the Club in the community. As such, no controversial or offensive
material of any kind will be published.
e) The newsletter should be mailed to the membership by the Monday preceding the regularly scheduled Club meeting on
the first Sunday of each month. With this in mind, it is the Editor’s responsibility to set the deadline for the submission of
material to allow sufficient time to produce and mail the newsletter.
f) The Vice-President and the Secretary-Treasurer will provide the Editor with a current list of members and recipients,
including those persons whose memberships are expiring or new members who have joined the club so the newsletter
mailing list may be kept current.
ARTICLE XV
Section 1 – Louisiana Mopar Nationals Car Show: The Mopar Magic Unlimited Auto Club Inc.’s annual Louisiana Mopar
Nationals Car Show is a Mopar only show. {A Mopar has previously been defined by the Club as a vehicle with either a body or
powertrain, or both, that was produced by Chrysler or one of its predecessor companies, (Chrysler, Plymouth, Dodge, DeSoto,
Imperial, Jeep, AMC, etc.)} Car show entry is open to the public and public spectators are welcome. The club donates a
portion of the proceeds of the show to a local charity or charities.
If a person does not have a Mopar vehicle to enter into the show but still wants to support our club and our chosen charity
(ies), that person may make a donation to the club in the amount equal to or greater than the regular show entry fee. In
exchange for that donation, the person will receive: a Mopar Nationals T-shirt and a meal for themselves and their guests, as
long as supplies last. They will not receive a registration packet. They will not be eligible to register a non-Mopar vehicle for
judging. Their non-Mopar vehicle will not be judged. They will not be eligible for any award or for a door prize. They will not be
eligible to park a non-Mopar on the show field. As with any other public spectator, they may participate in raffles, 50/50 pots, or
other such activities to raise money for our charity(ies).
